Terms of service

This document is a plain-language draft pending legal review. It describes our intended practice, but it is not yet a final contractual text.

These are the terms our engagements run under. They are written to be readable; where a signed contract exists between us, that contract takes precedence over this page.

Scope and quotes

Every engagement begins with a written scope and a fixed price for that scope. Work outside it is quoted separately before it starts — you will never receive an invoice for something you did not approve.

Quotes are valid for thirty days.

Ownership

You own your domain, your data, your content and, on final payment, the custom code we write for you. All accounts are registered in your name.

We retain ownership of our own pre-existing tools, libraries and internal frameworks, and grant you a perpetual licence to use them as part of your delivered system.

If you leave, we hand over everything and help with the migration. We do not hold assets hostage.

Payment

Build work is invoiced in stages against the agreed milestones. Retainers are invoiced monthly in advance, or annually where you have chosen annual billing.

Invoices are due within fourteen days. Persistent non-payment may lead to suspension of managed services, with at least seven days' written notice first.

Your responsibilities

You agree to provide timely access, content and decisions. Delays on your side move the timeline, not the price.

You confirm you have the right to use any content, images or trademarks you supply to us.

You are responsible for the lawfulness of what you sell and publish through the systems we build.

Availability and liability

We commit to the uptime and response targets stated in your service level agreement. Where we miss them, the remedies in that agreement apply.

We are not liable for failures of third-party platforms outside our control, nor for indirect or consequential loss. Our total liability in any twelve-month period is limited to the fees you paid us in that period.

Ending the agreement

Monthly retainers run month to month after the initial term and can be ended with thirty days' written notice from either side.

On termination we provide a full export of your data and reasonable assistance with migration, chargeable at our standard rate beyond the first four hours.
